  1. ABOUT THESE TERMS
    1. These Master Terms & Conditions ("Terms") govern the use of the Life Sciences Week website, participation in Life Sciences Week events and activities, and all related services provided by Life Sciences Week Limited ("LSW", "we", "our" or "us").
    2. These Terms apply to all users of the Website and all participants involved in Life Sciences Week events and activities, including attendees, registrants, sponsors, exhibitors, event hosts, speakers, partners and visitors ("you").
    3. By accessing the Website, registering for an event, submitting an event, purchasing sponsorship, exhibiting, attending, speaking at or otherwise participating in any Life Sciences Week activity, you confirm that you have read, understood and agree to be bound by these Terms together with our Privacy Notice.
    4. If you do not agree to these Terms, you must not use the Website or participate in any Life Sciences Week activity.

    2. Life Sciences Week is a national platform promoting collaboration throughout the life sciences sector by facilitating events, networking opportunities, sponsorship, partnerships and industry engagement.
    3. Unless expressly stated otherwise, Life Sciences Week acts as:
      • website operator;
      • event promoter;
      • marketing platform;
      • event listing service;
      • sponsorship provider; and
      • facilitator of professional networking.

      Life Sciences Week does not necessarily organise or deliver every event published on the Website.

  3. DEFINITIONS

    For the purposes of these Terms:

    Attendee means any individual attending or registering for an Event.

    Business Day means a day other than a Saturday, Sunday or public holiday in England when banks in London are open for business.

    Event means any conference, seminar, networking event, webinar, workshop, exhibition, site visit or other activity promoted through Life Sciences Week.

    Event Host means the organisation responsible for organising and delivering an Event.

    Exhibitor means an organisation exhibiting at an Event.

    Partner means an organisation collaborating with Life Sciences Week.

    Sponsor means any organisation purchasing sponsorship from Life Sciences Week.

    Website means www.lifesciencesweek.co.uk together with any associated digital services.

  4. WEBSITE USE
    1. You agree to use the Website only for lawful purposes.
    2. You must not:
      • upload unlawful material;
      • knowingly introduce viruses or malicious code;
      • attempt to gain unauthorised access to the Website;
      • interfere with Website security;
      • misuse user accounts;
      • scrape or copy Website content without permission;
      • impersonate another person or organisation;
      • submit false information.
    3. We reserve the right to suspend or terminate access where we reasonably believe these Terms have been breached.
  5. WEBSITE CONTENT
    1. Whilst we use reasonable endeavours to ensure that information published on the Website is accurate, complete and up to date, we make no warranty that all information will remain accurate at all times.
    2. Information is provided for general information only.
    3. Nothing published on the Website constitutes:
      • legal advice;
      • medical advice;
      • healthcare advice;
      • investment advice;
      • financial advice;
      • regulatory advice; or
      • professional advice of any kind.

      Professional advice should always be obtained from an appropriately qualified adviser.

    4. Life Sciences Week accepts no responsibility for decisions made in reliance upon Website content.
  6. EVENT LISTINGS
    1. Life Sciences Week provides a platform through which Event Hosts may promote Events.
    2. Unless expressly stated otherwise, Events listed on the Website are organised and delivered by independent Event Hosts.
    3. Each Event Host is solely responsible for:
      • venue selection;
      • speakers;
      • presentations;
      • ticketing;
      • delegate communications;
      • accessibility;
      • health and safety;
      • insurance;
      • compliance with applicable laws;
      • event delivery.
    4. Publication of an Event on the Website does not constitute endorsement by Life Sciences Week of:
      • the Event;
      • its content;
      • speakers;
      • opinions expressed; or
      • products or services promoted.
    5. Life Sciences Week reserves the right to refuse, amend, suspend or remove any Event listing where we reasonably believe that:
      • information is inaccurate;
      • the Event breaches these Terms;
      • publication may damage the reputation of Life Sciences Week;
      • the Event is discriminatory;
      • the Event is unsafe;
      • publication would expose Life Sciences Week to legal or regulatory risk.

      Life Sciences Week shall have no liability arising from the exercise of these rights.

  7. REGISTRATION
    1. Submission of a registration does not guarantee attendance. A place is confirmed only when LSW or the relevant Event Host issues a booking confirmation, subject to these Terms, any Event-specific conditions and any applicable payment requirements.
    2. Submission of an Event Host application does not guarantee acceptance.
    3. Life Sciences Week may refuse any registration or application at its reasonable discretion.
    4. You agree that all information supplied during registration shall be accurate and kept up to date.
  8. BOOKINGS, TICKETING AND PAYMENTS
    1. Where Life Sciences Week is the contracting organiser of an Event, payment shall be made in accordance with the booking terms published for that Event.
    2. Where an Event is organised by an independent Event Host, any contract relating to ticket purchases, delegate fees or attendance shall exist solely between the Attendee and the Event Host.
    3. Life Sciences Week accepts no responsibility for:
      • ticket refunds;
      • cancellations;
      • venue changes;
      • speaker substitutions;
      • Event postponements;

      where the Event is organised by an independent Event Host.

    4. Any refund requests relating to independently hosted Events must be directed to the relevant Event Host.
    5. Life Sciences Week may charge fees for sponsorship, exhibiting, premium listings or other commercial services. Such arrangements shall be governed by these Terms together with any separate commercial agreement or booking confirmation.
    6. Where LSW collects payment through the Website for an independently hosted Event, LSW may act solely as a disclosed booking and payment facilitator for the Event Host. The identity of the contracting organiser, the applicable cancellation terms and responsibility for refunds will be stated during the booking process.
  9. EVENT ATTENDANCE
    1. All attendees are expected to conduct themselves in a professional, courteous and respectful manner at all times whilst participating in any Life Sciences Week Event.
    2. Attendees must comply with:
      • these Terms;
      • all venue rules and policies;
      • any reasonable instructions given by Life Sciences Week, the Event Host or venue representatives;
      • all applicable health and safety requirements.
    3. Life Sciences Week and the relevant Event Host reserve the right to refuse admission to, or remove from an Event, any person whose behaviour is considered to be:
      • abusive;
      • threatening;
      • violent;
      • discriminatory;
      • harassing;
      • intoxicated;
      • unlawful; or
      • likely to disrupt the Event or adversely affect the safety, wellbeing or enjoyment of others.
    4. Removal from an Event under this clause shall not entitle the attendee to any refund or compensation unless otherwise required by law.
  10. SPEAKERS
    1. Speakers are responsible for ensuring that all presentations, materials and statements made during an Event are accurate, lawful and do not infringe the intellectual property or other rights of any third party.
    2. Views expressed by speakers are their own and do not necessarily represent those of Life Sciences Week, its partners, sponsors or Event Hosts.
    3. Life Sciences Week reserves the right to amend speaker programmes, substitute speakers or withdraw presentations where reasonably necessary.
    4. Where a speaker has agreed that their session may be recorded, the speaker grants LSW a non-exclusive, worldwide, royalty-free licence to:
      • promote their participation;
      • use their approved name, biography and photograph;
      • record the relevant presentation; and
      • use, reproduce and publish the recording or reasonable excerpts for promotional, educational, reporting and archival purposes.

      Copyright in the speaker’s underlying presentation materials remains with the speaker or relevant rights holder. The speaker warrants that they have the rights and permissions necessary for the agreed use of those materials.

  11. SPONSORS AND EXHIBITORS
    1. Sponsors and Exhibitors shall comply with these Terms together with any sponsorship, exhibition or commercial agreement entered into with Life Sciences Week.
    2. Life Sciences Week will use reasonable endeavours to deliver sponsorship benefits as agreed but does not guarantee:
      • delegate attendance;
      • visitor numbers;
      • networking opportunities;
      • commercial outcomes;
      • sales;
      • investment;
      • media coverage; or
      • return on investment.
    3. Sponsors and Exhibitors are responsible for ensuring that all promotional material, displays and marketing content:
      • comply with applicable laws;
      • are accurate;
      • are not misleading;
      • do not infringe third-party rights; and
      • comply with applicable advertising standards.
    4. Life Sciences Week reserves the right to require the removal of any material that it reasonably considers unlawful, offensive, misleading or likely to damage its reputation.
  12. NETWORKING AND BUSINESS INTRODUCTIONS
    1. Life Sciences Week encourages collaboration and networking between delegates, sponsors, exhibitors, Event Hosts and partners.
    2. Life Sciences Week acts solely as a facilitator of networking opportunities.
    3. Life Sciences Week shall not be responsible for:
      • business relationships formed between participants;
      • contracts entered into;
      • commercial negotiations;
      • investments;
      • funding arrangements;
      • research collaborations;
      • recruitment decisions;
      • consultancy arrangements; or
      • any losses arising from introductions made through the Website or Events.
  13. PHOTOGRAPHY, VIDEO AND MEDIA
    1. Life Sciences Week and Event Hosts may photograph, film or otherwise record Events for promotional, educational, reporting and archival purposes.
    2. By attending an Event, attendees acknowledge that they may appear incidentally in photographs, video recordings or livestreams.
    3. Life Sciences Week may use such material in:
      • promotional literature;
      • social media;
      • newsletters;
      • websites;
      • press releases;
      • future marketing materials.
    4. Where an individual objects to the use of their identifiable image, Life Sciences Week will consider reasonable requests where practicable, although it cannot guarantee removal from group photographs or recordings.
  14. INTELLECTUAL PROPERTY
    1. All intellectual property rights in the Website and Life Sciences Week branding, including logos, graphics, text, designs, databases and software, remain the property of Life Sciences Week or its licensors.
    2. Nothing in these Terms transfers ownership of any intellectual property.
    3. Users must not:
      • copy;
      • reproduce;
      • modify;
      • distribute;
      • publish;
      • commercially exploit; or
      • create derivative works from

      any Life Sciences Week content without prior written consent.

    4. Sponsors, Exhibitors, Event Hosts, Partners and Speakers grant Life Sciences Week a non-exclusive, royalty-free licence to use their names, logos, trademarks and approved marketing material solely for promoting Life Sciences Week and the relevant Event.
    5. No person may use the Life Sciences Week name, logo or branding in a manner suggesting endorsement, partnership or affiliation without prior written consent.
    6. Photography, filming, livestreaming and recording at Events shall be governed by Clause 13 of these Terms and the LSW Privacy Notice.
  15. DATA PROTECTION
    1. Life Sciences Week processes personal data in accordance with the UK General Data Protection Regulation, the Data Protection Act 2018 and its Privacy Notice.
    2. Unless otherwise agreed in writing, LSW and each Event Host, Sponsor, Exhibitor and Commercial Partner will act as independent data controllers in relation to the personal data each processes for its own purposes. The parties’ actual status will depend on the relevant processing activity and will not be determined solely by the labels used in these Terms.
    3. Personal information may be shared with Event Hosts for legitimate operational purposes including:
      • event administration;
      • attendee communications;
      • venue management;
      • health and safety;
      • accessibility arrangements;
      • post-event communications where lawful.
    4. Where included in an applicable sponsorship, exhibition or commercial partnership package, LSW may share relevant attendee or registrant information with a Sponsor, Exhibitor or Commercial Partner in accordance with:
      • the purposes and categories of information described in the LSW Privacy Notice;
      • the information provided to the individual at the point of collection;
      • the applicable individual’s choices, preferences and rights; and
      • applicable data protection and direct marketing legislation.

      LSW will not share dietary requirements, accessibility requirements or other special category personal data with Sponsors, Exhibitors or Commercial Partners for their own marketing or commercial purposes.

    5. Each Event Host, Sponsor, Exhibitor and Commercial Partner receiving personal data shall act as an independent data controller unless otherwise agreed in writing and shall be responsible for its own compliance with applicable data protection and direct marketing law.
  16. THIRD-PARTY WEBSITES
    1. The Website may contain links to third-party websites for the convenience of users.
    2. Life Sciences Week does not control or endorse third-party websites and accepts no responsibility for:
      • their content;
      • security;
      • privacy practices;
      • products;
      • services; or
      • availability.

      Access to third-party websites is entirely at the user's own risk.

  17. LIABILITY
    1. Nothing in these Terms excludes or limits liability for:
      • death or personal injury caused by negligence;
      • fraud or fraudulent misrepresentation;
      • breach of any obligation which cannot lawfully be excluded or limited; or
      • any statutory rights or remedies available to a consumer which cannot lawfully be excluded or restricted.
    2. If you are acting in the course of a business, trade or profession, then, subject to Clause 17.1, LSW shall not be liable for:
      • loss of profit, revenue, business or anticipated savings;
      • loss of contracts or commercial opportunity;
      • loss of goodwill or reputation;
      • loss or corruption of data; or
      • any indirect or consequential loss.
    3. If you are acting in the course of a business, trade or profession, LSW’s total aggregate liability arising out of or in connection with an Event, commercial package or related service shall not exceed the greater of:
      • the fees paid or payable by you to LSW for the relevant Event, package or service; and
      • £1,000.
    4. If you are a consumer, LSW is responsible for loss or damage that is a foreseeable result of LSW breaching these Terms or failing to use reasonable care and skill. LSW is not responsible for business losses or for loss or damage that was not foreseeable.
    5. LSW shall not be liable for the independent acts or omissions of Event Hosts, Sponsors, Exhibitors, Speakers, venues or other third parties, except to the extent that liability arises from LSW’s own breach of contract, negligence or other act or omission for which it is legally responsible.
    6. Nothing in this clause affects any separate limitation of liability expressly agreed in writing between LSW and a business participant.
  18. FORCE MAJEURE
    1. Life Sciences Week shall not be liable for any delay, cancellation or failure to perform its obligations where caused by events beyond its reasonable control, including:
      • acts of God;
      • severe weather;
      • pandemic or epidemic;
      • fire;
      • flood;
      • terrorism;
      • civil unrest;
      • industrial disputes;
      • failure of utilities;
      • venue closure;
      • governmental action;
      • transport disruption;
      • cyber incidents; or
      • failure of third-party suppliers.
    2. Life Sciences Week reserves the right to postpone, reschedule, relocate, cancel or convert an Event to an alternative format, including a virtual or hybrid event, where reasonably necessary.
    3. Life Sciences Week shall not be liable for any costs incurred by participants arising from such changes, including travel or accommodation costs, except where required by law or expressly agreed in writing.
  19. COMPLAINTS
    1. Complaints relating to an Event should, in the first instance, be raised with the relevant Event Host where that Event is independently organised.
    2. Complaints concerning Life Sciences Week or the operation of the Website should be submitted in writing to info@lifesciencesweek.co.uk.
    3. Life Sciences Week will use reasonable endeavours to investigate complaints promptly but makes no guarantee as to the outcome of any investigation.
  20. SUSPENSION AND TERMINATION
    1. Life Sciences Week may, without liability, suspend or terminate access to the Website, remove Event listings, withdraw sponsorship benefits or refuse participation where it reasonably believes that a person or organisation has:
      • breached these Terms;
      • provided false or misleading information;
      • engaged in unlawful conduct;
      • acted in a manner likely to damage the reputation of Life Sciences Week; or
      • otherwise compromised the safety, integrity or successful operation of the Website or an Event.
    2. Termination shall not affect any accrued rights or obligations of either party.
  21. CHANGES TO THESE TERMS
    1. Life Sciences Week may amend these Terms from time to time where reasonably necessary to:
      • reflect changes in law or regulation;
      • introduce new services or events;
      • improve clarity;
      • protect the legitimate interests of Life Sciences Week or its users.
    2. The latest version of these Terms will be published on the Website.
    3. Revised Terms shall apply from the effective date stated in the updated version. Unless required by law or expressly agreed with you, a material change will not retrospectively alter an Event booking or commercial agreement already confirmed before that date.
    4. Your continued use of the Website after revised Terms take effect will constitute acceptance of the revised Terms in relation to future use. Where a material change affects an existing service or booking, LSW will provide reasonable notice where practicable.
  22. GENERAL
    1. Entire Agreement

      If you are acting in the course of a business, trade or profession, these Terms, the Privacy Notice, the applicable booking confirmation and any separate written agreement constitute the entire agreement between the parties concerning their subject matter and supersede previous discussions and understandings.

      Nothing in this clause excludes liability for fraud or fraudulent misrepresentation or restricts any right or remedy which cannot lawfully be excluded. If you are a consumer, this clause does not exclude any information or representation which forms part of your contract by law.

    2. No Waiver

      Failure by Life Sciences Week to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights.

    3. Severability

      If any provision of these Terms is found by a court or competent authority to be unlawful, invalid or unenforceable, that provision shall be deemed severed and the remaining provisions shall remain in full force and effect.

    4. Assignment

      Life Sciences Week may assign, transfer or subcontract any of its rights or obligations under these Terms. You may not assign or transfer your rights or obligations without our prior written consent.

    5. No Reliance

      If you are acting in the course of a business, trade or profession, you acknowledge that you have not relied upon any statement, representation, assurance or warranty not expressly set out in these Terms or an applicable written agreement. Nothing in this clause limits or excludes liability for fraud or fraudulent misrepresentation.

      This clause does not apply so as to restrict any non-excludable right or remedy of a consumer.

    6. Third Party Rights

      A person who is not a party to these Terms shall have no right to enforce any provision of these Terms under the Contracts (Rights of Third Parties) Act 1999.

    7. Relationship of the Parties

      Nothing in these Terms creates any partnership, joint venture, agency, employment or fiduciary relationship between Life Sciences Week and any user, Event Host, Sponsor, Exhibitor or Partner.

    8. Notices

      Any formal notice under these Terms shall be in writing and sent by email, first-class post or another method expressly agreed by the parties to the address stated in the relevant booking, agreement or correspondence.

      An email notice shall be deemed received at 9.00 am on the next Business Day after transmission, provided that the sender has not received an automated delivery-failure notification. A notice sent by first-class post shall be deemed received two Business Days after posting.

  23. GOVERNING LAW AND JURISDICTION
    1. These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales.
    2. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.

SCHEDULE 1

EVENT HOST & EVENT DELIVERY TERMS

  1. APPLICATION
    1. This Schedule applies to all organisations, businesses, institutions, partners, and individuals hosting or delivering an event as part of Life Sciences Week (“Event Host”).
    2. This Schedule forms part of the Life Sciences Week Terms and Conditions and must be read together with the remainder of those Terms.
    3. In the event of any inconsistency between this Schedule and any separate written agreement entered into between Life Sciences Week and an Event Host, the written agreement shall prevail to the extent of the inconsistency.
    4. Nothing in this Schedule creates any partnership, joint venture, agency, employment or fiduciary relationship between LSW and the Event Host, and the Event Host shall have no authority to bind LSW.
  2. ROLE OF LIFE SCIENCES WEEK
    1. Life Sciences Week Limited (“LSW”) will:
      1. subject to LSW’s approval of the Event and receipt of complete, accurate and timely Event information, include the Event on the official Life Sciences Week website;
      2. provide and operate the official booking and registration facility for the Event through the Life Sciences Week website;
      3. issue an automated booking confirmation or acknowledgement to each registrant following completion of the booking process;
      4. provide standard promotional support for the Event, which is ordinarily expected to include at least one LinkedIn post and one post on X or another appropriate social media platform, subject to platform availability, campaign scheduling and LSW’s reasonable editorial discretion;
      5. include the Event within general Life Sciences Week email marketing communications and newsletters, provided that inclusion within any specific communication shall be at LSW’s discretion;
      6. provide the official Life Sciences Week logo and approved branding assets for use in Event-related marketing materials;
      7. where requested by LSW or submitted by the Event Host, review promotional materials for consistency with LSW’s branding requirements. Any review or approval by LSW does not transfer responsibility for the legality, accuracy or compliance of the materials from the Event Host.
    2. Unless otherwise agreed in writing, all delegate bookings and registrations for Events forming part of Life Sciences Week shall be made through the official Life Sciences Week website and booking platform.
    3. The Event Host shall provide LSW with all information reasonably required to configure and administer the booking and registration process, including:
      1. Event title;
      2. Event description;
      3. date and timings;
      4. venue details;
      5. capacity limits;
      6. ticket categories and pricing (where applicable);
      7. booking opening and closing dates;
      8. attendee information requirements;
      9. accessibility information; and
      10. any other information reasonably required for registration purposes.
    4. Following registration, the Event Host shall be solely responsible for all Event-specific communications with attendees, including (without limitation):
      1. joining instructions;
      2. venue access information;
      3. parking information;
      4. security or identification requirements;
      5. accessibility arrangements;
      6. programme updates;
      7. changes to speakers or timings;
      8. event reminders;
      9. cancellation or postponement notices;
      10. post-event communications; and
      11. any other information reasonably required for attendees to participate in the Event.
    5. Except for the automated booking confirmation referred to in Clause 2.1(c), LSW shall have no obligation to issue Event-specific communications to attendees unless expressly agreed in writing.
    6. The Event Host remains solely responsible for promoting and marketing its Event and shall use reasonable endeavours to publicise the Event through its own marketing channels, communications, networks and stakeholder engagement activities.
    7. The promotional activity undertaken by LSW is intended to supplement, and not replace, the Event Host's own marketing activities.
    8. LSW gives no warranty or guarantee regarding:
      1. the number of bookings or registrations;
      2. attendance levels;
      3. ticket sales;
      4. commercial outcomes;
      5. sponsorship outcomes; or
      6. media coverage.
    9. LSW may suspend or close bookings or registrations where it reasonably considers this necessary due to:
      1. capacity limits being reached;
      2. inaccurate or incomplete Event information;
      3. postponement or cancellation of the Event;
      4. legal, regulatory, operational or safeguarding requirements; or
      5. circumstances reasonably requiring suspension to protect attendees, LSW or the Event Host.
    10. Subject to applicable data protection law and the functionality of LSW’s booking platform, LSW shall make available to the Event Host the registration information reasonably required to administer and deliver its Event. LSW may provide that information through a secure portal, dashboard, report or other method determined by LSW.
    11. The Event Host’s access to registration information is subject to clause 6 and may be restricted or withdrawn where reasonably necessary to protect personal data, maintain system security, comply with law or investigate suspected misuse.
    12. LSW does not warrant that the booking or registration facility will be uninterrupted or error-free but will use reasonable endeavours to maintain the service and address material faults.
  3. EVENT HOST OBLIGATIONS
    1. The Event Host shall:
      1. comply with all applicable laws, regulations, and industry standards;
      2. comply with LSW branding and promotional guidelines, as updated from time to time;
      3. provide, by the applicable deadlines, all information reasonably required by LSW to facilitate publication, promotion, booking and administration of the Event, including:
        1. primary contact details;
        2. organisation name, logo and description;
        3. Event name, description, date, timings and location;
        4. Event booking or information webpage;
        5. relevant social media accounts and hashtags;
        6. speaker details;
        7. Event capacity;
        8. ticket categories and pricing, where applicable;
        9. registration opening and closing dates; and
        10. any Event-specific registration or attendance requirements.
      4. ensure that all information supplied to LSW is accurate, complete, lawful and up to date;
      5. promptly notify LSW of any material change affecting the Event; and
      6. cooperate reasonably with LSW throughout the planning and delivery of the Event.
    2. The Event Host warrants that all information, materials and content supplied to LSW:
      1. are accurate and complete;
      2. do not infringe third-party rights;
      3. comply with applicable law; and
      4. are not misleading.
    3. Failure to provide accurate or timely information may result in delayed publication, reduced promotional activity or removal of the Event from Life Sciences Week promotional channels.
  4. EVENT DELIVERY RESPONSIBILITIES
    1. The Event Host is solely responsible for:
      1. organising and delivering the Event;
      2. venue hire and venue compliance;
      3. obtaining all licences, permits and approvals;
      4. health and safety compliance and risk assessments;
      5. security, safeguarding and emergency procedures;
      6. staffing and operational management;
      7. speaker engagement and management;
      8. catering and hospitality;
      9. accessibility arrangements;
      10. ticketing policies, attendee communications, cancellations, refunds and complaints;
      11. equipment, audiovisual facilities and internet connectivity; and
      12. compliance with venue rules and applicable legislation.
    2. The Event Host shall ensure the Event is conducted professionally and that all speakers, staff, contractors and attendees are treated fairly, respectfully and without discrimination.
    3. The Event Host shall not include content that is unlawful, defamatory, discriminatory, misleading or infringes the rights of any third party.
  5. MARKETING AND BRANDING
    1. The Event Host shall use the official Life Sciences Week logo and branding only in accordance with LSW's brand guidelines.
    2. The Event Host shall ensure that all promotional material is accurate, professional and compliant with applicable advertising and consumer protection legislation.
    3. The Event Host shall not:
      1. alter the LSW logo without approval;
      2. imply endorsement beyond agreed participation;
      3. register or use branding likely to confuse with Life Sciences Week; or
      4. use LSW branding following cancellation or termination of the Event.
    4. LSW may require amendment or withdrawal of promotional material that does not comply with this Schedule or its branding guidelines.
  6. DATA PROTECTION
    1. Each party shall comply with UK GDPR, the Data Protection Act 2018 and all applicable data protection legislation.
    2. Unless otherwise agreed in writing, each party acts as an independent data controller in respect of the personal data it processes.
    3. The Event Host shall use any registration information made available by LSW solely for the purposes of:
      1. administering and delivering the relevant Event;
      2. communicating with registered attendees regarding that Event;
      3. facilitating attendance, accessibility and venue access;
      4. complying with legal, regulatory or health and safety obligations relating to the Event; and
      5. any other purpose expressly authorised by LSW or permitted by applicable Data Protection Legislation.
    4. The Event Host shall not:
      1. use attendee information for unrelated marketing or promotional purposes unless it has an independent lawful basis under applicable Data Protection Legislation;
      2. disclose attendee information to any third party except where reasonably necessary for the delivery of the Event or otherwise required by law;
      3. retain attendee information for longer than is reasonably necessary for the purposes for which it was provided; or
      4. use attendee information in any manner inconsistent with the LSW Privacy Notice or applicable Data Protection Legislation.
    5. The Event Host shall implement appropriate technical and organisational measures to protect attendee information against unauthorised access, disclosure, loss or misuse and shall notify LSW without undue delay upon becoming aware of any actual or suspected personal data breach affecting information provided by LSW.
    6. The Event Host shall ensure that attendees are informed where photography, filming, livestreaming or other recording will take place during the Event and shall establish an appropriate lawful basis for any processing of personal data for which it is responsible.
  7. INSURANCE AND LIABILITY
    1. The Event Host shall maintain appropriate public liability insurance and any other insurance reasonably required for the nature of the Event and shall provide evidence of such insurance to LSW upon reasonable request.
    2. The Event Host remains responsible for:
      1. the safety and management of the Event venue;
      2. damage to property;
      3. injury arising from the Event, except to the extent caused by LSW’s negligence.
    3. The Event Host shall indemnify LSW against all reasonable losses, liabilities, damages, costs and third-party claims suffered or incurred by LSW to the extent arising from:
      1. the Event Host’s material breach of these Terms;
      2. the negligent or unlawful acts or omissions of the Event Host or its staff, speakers, contractors or representatives;
      3. infringement of third-party intellectual property or other rights by Event content or materials supplied by the Event Host;
      4. death, personal injury or property damage arising from the Event, except to the extent caused by LSW’s negligence; or
      5. the Event Host’s breach of applicable data protection law.

        This indemnity shall not apply to the extent that the relevant loss was caused or contributed to by LSW’s negligence or breach of these Terms.

  8. COMMUNICATIONS AND CHANGES
    1. The Event Host shall notify LSW without undue delay of any material change affecting the Event, including:
      1. postponement;
      2. cancellation;
      3. venue changes;
      4. significant programme changes;
      5. speaker changes;
      6. capacity reductions; or
      7. any circumstance likely to affect attendees or LSW's promotion of the Event.
    2. LSW may amend, suspend or remove Event listings where information is inaccurate, incomplete, misleading or likely to create legal, operational or reputational risk.
  9. REPUTATION AND CONDUCT
    1. LSW reserves the right to refuse, suspend, or remove any Event Host, speaker, Event, content, or promotional activity which, in LSW’s reasonable opinion:
      1. may damage its reputation;
      2. conflicts with LSW's published values, professional standards or legitimate reputational interests;
      3. creates legal, regulatory, or safeguarding risk.
    2. The Event Host shall ensure that its staff, contractors and speakers conduct themselves professionally and comply with all reasonable conduct requirements notified by LSW.
  10. INTELLECTUAL PROPERTY
    1. The Event Host retains ownership of its own pre-existing materials and content.
    2. The Event Host grants LSW a non-exclusive, royalty-free licence to use its name, logo, Event information, and approved materials for:
      1. Event administration;
      2. promotion;
      3. reporting;
      4. post-event communications.
    3. The Event Host warrants that it owns or has obtained all rights necessary to permit LSW to use the materials supplied under the licence granted by this Schedule.
  11. FORCE MAJEURE
    1. Neither party shall be liable for failure or delay caused by circumstances beyond reasonable control, including natural disasters, industrial disputes, utility outages, government restrictions, pandemics, venue closures, or transport disruption.
    2. The affected obligations shall be suspended for the period during which the circumstances beyond the affected party’s reasonable control prevent or delay performance.
    3. Where reasonably necessary following a Force Majeure Event, the Event may be postponed, relocated, delivered in an alternative format or cancelled.
    4. Unless otherwise agreed in writing, the Event Host remains responsible for communicating with attendees and administering any cancellation, transfer or refund obligations relating to its Event, including where cancellation or postponement results from circumstances beyond the parties’ reasonable control.
  12. TERMINATION
    1. LSW may remove or terminate an Event’s participation immediately where:
      1. the Event Host breaches these Terms;
      2. the Event creates reputational, legal, or operational risk;
      3. required information is not provided within reasonable timescales.
    2. Termination shall not affect accrued rights or liabilities.
    3. Upon termination or removal of an Event from Life Sciences Week, the Event Host shall:
      1. immediately cease using LSW branding;
      2. remove references suggesting the Event forms part of Life Sciences Week;
      3. remain responsible for attendee communications, refunds and Event liabilities; and
      4. comply with any reasonable transitional arrangements requested by LSW.
  13. SURVIVAL
    1. The provisions relating to intellectual property, data protection, liability, indemnities, accrued rights and any provision intended by its nature to survive termination shall continue in force following termination or expiry of this Schedule.

SCHEDULE 2

COMMERCIAL TERMS (SPONSORS, EXHIBITORS & PARTNERS)

  1. APPLICATION
    1. This Schedule applies to all Sponsors, Exhibitors, Commercial Partners and any other organisation or individual purchasing, receiving or otherwise participating in a commercial package in connection with Life Sciences Week ("Commercial Participant").
    2. This Schedule forms part of the Life Sciences Week Terms and Conditions and shall be read together with the remainder of those Terms.
    3. Where a separate Sponsorship Agreement, Partnership Agreement, Booking Form, Order Confirmation or other written agreement has been entered into between Life Sciences Week Limited ("LSW") and the Commercial Participant, that agreement shall prevail to the extent of any inconsistency.
  2. COMMERCIAL PACKAGES
    1. LSW may offer sponsorship, exhibition, partnership or other commercial participation packages from time to time.
    2. Package details, benefits, pricing and availability shall be as specified by LSW in writing.
    3. Unless expressly agreed in writing, no package shall include:
      1. exclusivity;
      2. category exclusivity;
      3. guaranteed attendee numbers;
      4. guaranteed commercial opportunities;
      5. guaranteed media coverage;
      6. guaranteed delegate engagement.
    4. LSW reserves the right to amend package contents where reasonably necessary, provided any amendment does not materially reduce the overall value of the package purchased.
  3. BOOKING AND ACCEPTANCE
    1. Submission of a booking, order or application does not constitute acceptance by LSW.
    2. A commercial booking shall only become binding when confirmed in writing by LSW.
    3. LSW reserves the right to refuse any booking or application at its absolute discretion.
    4. Where acceptance is refused after payment has been received, LSW shall refund the relevant payment in full.
  4. FEES AND PAYMENT
    1. All fees are payable in accordance with the invoice issued by LSW.
    2. Unless otherwise agreed in writing, invoices are payable within 14 days of the invoice date or by the day before commencement of the relevant Event, whichever is earlier.
    3. All fees are exclusive of VAT unless expressly stated otherwise.
    4. Where payment is not received by the due date, LSW may:
      1. suspend sponsorship benefits;
      2. withhold promotional activity;
      3. refuse exhibition access;
      4. remove branding;
      5. terminate the commercial package.
    5. If any amount is not paid by the due date, LSW may charge statutory interest and recover the fixed compensation and reasonable recovery costs available under the Late Payment of Commercial Debts (Interest) Act 1998. Statutory interest is currently calculated at 8% per annum above the applicable Bank of England base rate and accrues from the day after payment became due until payment is made in full.
    6. Payments shall not be withheld, reduced or set off against any claim.
    7. LSW is not obliged to provide any benefit, allocate exhibition space, publish branding or permit participation until all amounts due have been received in cleared funds.
  5. COMMERCIAL PARTICIPANT OBLIGATIONS
    1. The Commercial Participant shall:
      1. provide all logos, artwork, promotional material and information requested by LSW by the applicable deadlines;
      2. ensure that all information supplied is accurate, lawful and up to date;
      3. comply with all applicable legislation;
      4. comply with venue rules and health and safety requirements;
      5. conduct itself professionally at all times.
    2. The Commercial Participant warrants that it owns or has obtained all rights necessary for LSW to use any material supplied.
    3. The Commercial Participant shall immediately notify LSW of any material change affecting its participation.
  6. MARKETING AND PROMOTION
    1. LSW may use the Commercial Participant's name, logo, branding and approved promotional material for the purposes of:
      1. promoting Life Sciences Week;
      2. promoting the relevant Event;
      3. printed and digital marketing;
      4. social media;
      5. post-event reporting.
    2. The Commercial Participant grants LSW a non-exclusive, royalty-free licence to use such material for those purposes.
    3. The Commercial Participant may use the Life Sciences Week logo solely in accordance with LSW's branding guidelines.
    4. No alteration shall be made to LSW branding without prior written approval.
  7. EXHIBITION SPACE
    1. Where an exhibition stand or space forms part of the commercial package, LSW shall allocate space at its reasonable discretion.
    2. LSW reserves the right to alter stand locations, floorplans or layouts where reasonably necessary.
    3. The Commercial Participant shall:
      1. occupy only the allocated space;
      2. maintain the stand in a safe and professional condition;
      3. comply with venue requirements;
      4. remove all materials following the Event.
    4. LSW may require removal of any display or activity that, in its reasonable opinion:
      1. creates a safety risk;
      2. breaches these Terms;
      3. damages the reputation of Life Sciences Week.
  8. SPONSOR BENEFITS
    1. Sponsor benefits shall only be provided where:
      1. payment has been received;
      2. required artwork and information has been supplied by published deadlines;
      3. any required approvals have been obtained.
    2. LSW shall not be responsible where benefits cannot be delivered because the Commercial Participant failed to meet the applicable deadlines.
  9. CHANGES TO EVENTS
    1. LSW may reasonably amend:
      1. Event dates;
      2. venues;
      3. programmes;
      4. speakers;
      5. exhibition layouts;
      6. timings;
      7. schedules.
    2. Such changes shall not entitle the Commercial Participant to compensation provided the Event continues substantially as planned.
  10. CANCELLATION
    1. Commercial packages are non-refundable except where otherwise agreed in writing.
    2. Where the Commercial Participant withdraws after booking confirmation, LSW may retain all sums paid.
    3. Where LSW cancels the relevant Event for reasons other than the Commercial Participant’s breach and does not provide a substantially equivalent alternative, LSW shall, at its option:
      1. refund the fees paid for benefits that cannot be delivered;
      2. provide an equivalent credit against a future LSW Event or commercial package; or
      3. transfer the Commercial Package to a replacement or rescheduled Event.

        Except as expressly provided in this clause and subject to the liability provisions in these Terms, LSW shall have no liability for the Commercial Participant’s ancillary expenditure or lost commercial opportunity.

    4. Nothing in this clause limits LSW's rights under the Force Majeure provisions.
  11. LIABILITY
    1. The Commercial Participant acknowledges that sponsorship, exhibiting and commercial participation involve commercial risk and that LSW does not guarantee any particular financial, promotional or business outcome.
    2. Nothing in this Schedule excludes or limits liability for:
      1. death or personal injury caused by negligence;
      2. fraud or fraudulent misrepresentation; or
      3. any liability that cannot lawfully be excluded or limited.
    3. Subject to Clause 11.2, LSW shall not be liable for:
      1. loss of profits, revenue, business or anticipated savings;
      2. loss of contracts or commercial opportunity;
      3. loss of goodwill or reputation;
      4. loss or corruption of data; or
      5. indirect or consequential loss.
    4. Subject to Clause 11.2, LSW’s total aggregate liability arising out of or in connection with the relevant Commercial Package shall not exceed the total fees paid or payable by the Commercial Participant for that Commercial Package.
    5. This clause applies instead of Clause 17.3 of the Master Terms in relation to claims arising from a Commercial Package.
  12. INSURANCE
    1. The Commercial Participant shall maintain appropriate public liability insurance together with any other insurance appropriate to its participation.
    2. Evidence of insurance shall be provided to LSW upon reasonable request.
  13. DATA PROTECTION
    1. Each party shall comply with UK GDPR and all applicable data protection legislation.
    2. Where attendee or registrant information forms part of the applicable Commercial Package or is otherwise agreed in writing, LSW may provide the Commercial Participant with the categories of information specified in the relevant package or booking confirmation, subject to the LSW Privacy Notice and applicable law.
    3. Information provided under a Commercial Package may include business identity, contact, organisation-profile and professional-interest information. It shall not include dietary requirements, accessibility requirements or other special category personal data for sponsorship, exhibition, lead-generation or marketing purposes. Where a Commercial Participant separately acts as an Event Host, any Event-delivery data sharing shall be governed by Schedule 1.
    4. The Commercial Participant shall:
      1. use the information only for the purposes communicated to individuals and permitted by the applicable Commercial Package;
      2. provide its own privacy information where required;
      3. establish an appropriate lawful basis before using the information for direct marketing;
      4. comply with applicable electronic marketing rules; and
      5. act as an independent data controller unless otherwise agreed in writing.
  14. DELEGATE ENGAGEMENT AND LEAD CAPTURE
    1. Where LSW makes available any delegate engagement platform, networking application, badge scanning system, QR code technology, lead retrieval service or other attendee engagement functionality ("Lead Capture Services"), the Commercial Participant shall use such services only in accordance with these Terms, any applicable platform terms and all applicable data protection legislation.
    2. Access to Lead Capture Services shall be limited to authorised representatives of the Commercial Participant attending the relevant Event.
    3. The Commercial Participant shall ensure that any personal data obtained through Lead Capture Services is collected fairly, lawfully and transparently and is processed only where an appropriate lawful basis exists under applicable data protection legislation.
    4. Unless otherwise expressly agreed in writing by LSW, the availability of Lead Capture Services does not grant the Commercial Participant unrestricted access to attendee information or the Life Sciences Week registration database.
    5. Where attendee information is provided through Lead Capture Services, the Commercial Participant shall use that information only:
      1. for the legitimate purpose for which it was collected;
      2. in accordance with any permissions or preferences communicated by the attendee;
      3. in compliance with applicable data protection legislation; and
      4. in accordance with any guidance or instructions issued by LSW regarding the operation of the Lead Capture Services.
    6. The Commercial Participant shall not:
      1. copy, harvest, scrape or extract attendee information from the Life Sciences Week website, booking platform, networking platform or Event application;
      2. attempt to gain unauthorised access to attendee information;
      3. use attendee information for unsolicited marketing where no lawful basis exists; or
      4. disclose attendee information to any third party except where permitted by law.
    7. The Commercial Participant shall implement appropriate technical and organisational measures to protect any personal data obtained through Lead Capture Services against unauthorised access, loss, destruction, alteration or disclosure.
    8. The Commercial Participant shall notify LSW without undue delay after becoming aware of:
      1. any unauthorised access to attendee information;
      2. any personal data breach relating to information obtained through Lead Capture Services;
      3. any complaint or regulatory enquiry relating to such information.
    9. LSW may suspend, restrict or withdraw access to Lead Capture Services immediately where it reasonably believes that the Commercial Participant has:
      1. breached these Terms;
      2. breached applicable data protection legislation;
      3. compromised the security of the Lead Capture Services; or
      4. otherwise used attendee information improperly.
    10. Nothing in this clause requires LSW to provide Lead Capture Services or attendee information unless expressly included in the applicable Commercial Package or otherwise agreed in writing. Nothing in this clause restricts LSW from providing information in accordance with clause 13.
  15. INTELLECTUAL PROPERTY
    1. Each party retains ownership of its own intellectual property.
    2. Nothing in this Schedule transfers ownership of any intellectual property rights.
    3. On termination, each party shall cease new use of the other party’s intellectual property, except that LSW may retain and continue to display completed Event programmes, reports, photographs, recordings and archived materials accurately recording the Commercial Participant’s historical participation.
  16. CONFIDENTIALITY
    1. Each party shall keep confidential all commercial information obtained from the other party that is identified as confidential or would reasonably be regarded as confidential.
    2. This obligation shall not apply where disclosure is required by law or by a competent regulatory authority.
  17. FORCE MAJEURE
    1. Neither party shall be liable for failure or delay caused by circumstances beyond its reasonable control.
    2. LSW may postpone, relocate, reschedule, cancel or deliver an Event in an alternative format where reasonably necessary due to a Force Majeure Event.
    3. Such action shall not constitute a breach of these Terms.
  18. TERMINATION
    1. LSW may immediately terminate a commercial package where the Commercial Participant:
      1. commits a material breach of these Terms;
      2. fails to make payment when due;
      3. becomes insolvent;
      4. engages in unlawful conduct;
      5. acts in a manner likely to damage the reputation of LSW or Life Sciences Week.
    2. Upon termination, the Commercial Participant shall immediately cease using Life Sciences Week branding.
    3. Termination shall not affect accrued rights or liabilities.
  19. SURVIVAL
    1. Clauses relating to confidentiality, intellectual property, liability, data protection, payment obligations and any provision intended by its nature to survive termination shall continue following expiry or termination of this Schedule.

SCHEDULE 3

WEBSITE AND DIGITAL SERVICES ACCEPTABLE USE POLICY

  1. APPLICATION
    1. This Schedule applies to every person accessing or using the Life Sciences Week website, together with any associated booking platform, delegate portal, event management system, networking platform, mobile application or other digital services operated by or on behalf of Life Sciences Week Limited ("LSW") (collectively, the "Website").
    2. This Schedule forms part of the Life Sciences Week Terms and Conditions and applies to all visitors, users, registrants, Event Hosts, Sponsors, Exhibitors, Partners and any other person using the Website.
  2. PERMITTED USE
    1. You may use the Website only for lawful purposes and in accordance with these Terms.
    2. You agree to use the Website in a manner that is professional, respectful and consistent with the objectives of Life Sciences Week.
    3. You shall ensure that all information submitted through the Website is accurate, complete and kept up to date.
  3. PROHIBITED USE
    1. You must not use the Website:
      1. in breach of any applicable law or regulation;
      2. for any unlawful, fraudulent or misleading purpose;
      3. to impersonate another person or organisation;
      4. to upload false or misleading Event information;
      5. to transmit unsolicited marketing or spam;
      6. to distribute malware, ransomware, viruses or other malicious code;
      7. to interfere with the operation, security or availability of the Website;

  5. ACCOUNTS AND SECURITY
    1. Where access to any part of the Website requires registration, you are responsible for maintaining the confidentiality of your login credentials.
    2. You shall notify LSW immediately if you become aware of any unauthorised access to your account.
    3. You are responsible for activity carried out through your account where caused by your act, omission or failure to protect your login credentials. You are not responsible to the extent that the activity resulted from LSW’s breach of these Terms, negligence or a security failure outside your reasonable control.
  6. BOOKINGS AND REGISTRATIONS
    1. Users shall not knowingly submit inaccurate booking or registration information.
    2. Users shall not make speculative, duplicate or fraudulent bookings.
    3. LSW may refuse, suspend or cancel any booking or registration that it reasonably believes to be fraudulent, inaccurate or otherwise inconsistent with these Terms.
  7. INTELLECTUAL PROPERTY
    1. Except where otherwise stated, all intellectual property rights in the Website and its contents belong to LSW or its licensors.
    2. You may not reproduce, copy, distribute, modify or commercially exploit any Website content without prior written permission, except as permitted by law.
  8. CYBER SECURITY
    1. You must not:
      1. probe, scan or test the vulnerability of the Website;
      2. attempt to bypass authentication or security measures;
      3. interfere with servers or networks connected to the Website;
      4. undertake denial-of-service attacks;
      5. use automated software or bots in a manner that places unreasonable demand on the Website.
    2. LSW may investigate any suspected security incident and cooperate with law enforcement or regulatory authorities where appropriate.

    Shabna Raja is a senior leader in enterprise transformation within Life Sciences, with over 20 years’ experience spanning pharma, consumer health and large-scale digital programmes.

    She specialises in bridging strategy and execution – helping organisations translate AI, data and digital innovation into tangible business outcomes. Her work focuses on complex transformation
    initiatives across commercial, data and operating model domains within regulated environments.

    Shabna spent seven years at GSK, where she played a key role in transformation programmes, including as part of the Consumer Health joint venture with Pfizer — one of the most significant integrations in the sector. This experience provided her with deep expertise in  organisational change, integration and operating model evolution at global scale.

    More recently, she has spent over three years working closely with Haleon through a strategic
    services partnership, leading enterprise client engagement and managing a multi-million-pound account while supporting transformation across a newly independent global organisation.

    Her experience spans the end-to-end life sciences value chain, including R&D, commercial, supply chain and patient engagement, giving her a holistic perspective on how technology and transformation can unlock value across the industry.

    Amjad Khan is a UK-based entrepreneur, AI strategist, and senior technology leader with over 15 years of experience at Pfizer, where he held multiple leadership roles across digital strategy and transformation. As Global Digital Client Partner, he was responsible for digital strategy and execution across Global Business Units covering Vaccines, Hospital, and Medical Affairs. Most notably, he led the commercial launch for the Covid franchise transforming and accelerating the model for how new medicines are brought to market.

    Following his tenure at Pfizer, Amjad channelled his expertise into building at the frontier of AI. His work spans AI leadership, stakeholder engagement, and agile delivery helping organisations adopt and scale emerging  technologies to drive meaningful outcomes.

    Amy Deakin is a Birmingham-based leader specialising in building partnerships and fostering innovation in the life sciences sector. With a degree in Sport and Exercise Science, Amy brings a grounded understanding of human health and performance to her work and a strong interest in the developments shaping healthcare today.

    Amy is Managing Director of Life Sciences Week, part of the One Thousand Trades Group, and also serves as Director of One Thousand Trades Events. In these roles, she convenes researchers, clinicians and industry leaders to strengthen collaboration, unlock new partnerships and help accelerate real-world innovation across the life sciences ecosystem.

    Her career spans both commercial and third-sector environments. She began in automotive design, delivering projects for Volkswagen, McLaren, Bentley and Jaguar Land Rover, before moving into the third sector with Acorns Children’s Hospice. She later joined Western Union, working as a Partnerships Manager for international payments

    An avid netballer, Amy is a committed advocate for health and wellbeing – bringing energy, clarity and connection to everything she builds, and actively involved as a participant in health related research studies.
